Subject:Governance models in both the public and private sectors emphasise that the job of a board member is pro-active, not just reactive. This workshop will focus on: how to make the role and responsibilities for individual board members an effective, cohesive whole; what makes for effective board communication; and how to assess board effectiveness. The following topics will be covered: • the need to establish clarity about what issues the board should deal with, and those that it delegates; • the role of non-executive directors vis-à-vis executive directors; • the role of sub-committees; • individual and collective responsibilities; • the type of information needed by boards; • the structure and disclosure of board minutes; • board-level interaction with key internal and external stakeholders; and • accountability for the board’s performance.
